This Non-Disclosure Agreement ("Agreement") is entered into as of the date of electronic execution by and between Ekstrom Operations LLC, a Utah limited liability company ("Disclosing Party"), and the individual or entity executing this Agreement ("Receiving Party").
The Receiving Party desires to receive certain confidential information regarding a potential investment in The Cattleman's Club, a premium steakhouse and country dancehall concept being developed by the Disclosing Party. This Agreement governs the disclosure and use of such confidential information.
"Confidential Information" means all non-public information disclosed by the Disclosing Party, including but not limited to: financial projections, operating models, site plans, technology descriptions, membership data, patent applications and related intellectual property (USPTO Provisional #64/009,187), business plans, marketing strategies, investor materials, and any other information designated as confidential.
The Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without prior written consent; (c) use Confidential Information solely to evaluate the potential investment; (d) protect Confidential Information with at least the same degree of care used to protect its own confidential information, but in no case less than reasonable care; and (e) promptly notify the Disclosing Party of any unauthorized disclosure.
This Agreement shall remain in effect for a period of three (3) years from the date of execution, or until the Receiving Party returns or destroys all Confidential Information, whichever occurs first.
Nothing in this Agreement grants the Receiving Party any rights in or to the Confidential Information except the limited right to review it for investment evaluation purposes. All patent rights, copyrights, trade secrets, and other intellectual property rights remain the exclusive property of the Disclosing Party.
This Agreement does not obligate either party to proceed with any transaction, investment, or other business relationship. The Disclosing Party makes no representations as to the accuracy or completeness of the Confidential Information.
This Agreement shall be governed by the laws of the State of Utah. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the courts of Utah County, Utah.
The parties agree that electronic signatures and execution shall have the same legal effect as original ink signatures pursuant to the Utah Uniform Electronic Transactions Act and applicable federal law. By signing below, you acknowledge that you have read, understand, and agree to this Agreement in its entirety.
